These Terms and Conditions ("Terms") govern your access to and use of the StackBack application, website at stackback.ai, customer portal, and all related services (collectively, the "Service") provided by Unifynd Technologies Pvt. Ltd. ("Company", "we", "us", or "our").
By installing the StackBack application on your Shopify store, creating an account, or otherwise accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
1. Definitions
"Merchant" or "You" means any business, individual, or entity that installs or uses the StackBack application on a Shopify store.
"End Customer" means the customers of a Merchant who interact with StackBack-powered features (subscription widgets, bundles, customer portal, flash sales, try-before-you-buy campaigns) on the Merchant’s Shopify store.
"Selling Formats" means the various commerce formats offered through the Service, including but not limited to prepaid subscriptions, pay-as-you-go (PAYG) subscriptions, fixed bundles, build-your-own-box (BYOB) bundles, flash sales, and try-before-you-buy (TBYB) campaigns.
"Customer Portal" means the self-service portal served via Shopify App Proxy on the Merchant’s domain, allowing End Customers to manage subscriptions, track deliveries, swap products, browse bundles, and perform related actions.
"Plan" means the subscription tier selected by the Merchant (Starter, Growth, Scale, Business, or Enterprise), which determines usage limits, features, and pricing.
2. Eligibility
To use the Service, you must:
Be at least 18 years of age or the age of legal majority in your jurisdiction.
Have the legal authority to enter into a binding agreement on behalf of the business entity you represent.
Operate a Shopify store with a valid Shopify account.
Comply with all applicable laws, rules, and regulations in your jurisdiction, including the laws of India where applicable.
3. Account and Installation
3.1 Shopify App Installation
The Service is accessed by installing the StackBack application from the Shopify App Store. By installing the application, you authorise us to access your Shopify store data as necessary to provide the Service, including but not limited to products, orders, customers, billing, and store settings.
3.2 Account Responsibility
You are responsible for maintaining the confidentiality of your Shopify account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access to or use of your account.
3.3 Collaborator Access
In certain cases (such as during pilot onboarding), you may grant us Shopify Collaborator access to assist with setup and configuration. Such access will be used solely for the purposes agreed upon and you may revoke it at any time through your Shopify admin.
4. Service Description
4.1 Overview
StackBack is a Shopify-native selling formats engine that enables Merchants to offer multiple commerce formats to their End Customers. The Service currently includes the following modules:
Prepaid Subscriptions: End Customers pay upfront for a defined number of future deliveries.
Pay-As-You-Go (PAYG) Subscriptions: End Customers pay per delivery within a defined term, with payment collected via checkout links before each delivery.
Fixed Bundles: curated product bundles offered as a single purchase.
Build Your Own Box (BYOB): End Customers compose their own bundle from a Merchant-defined catalogue.
Flash Sale: time-bound offers across selected products.
Try-Before-You-Buy (TBYB): campaign-based sampler-to-full-size conversion offers, with campaign-level setup and tracking.
Customer Portal: a self-service hub for End Customers to manage subscriptions, track deliveries, swap products, reschedule orders, browse bundles, and start new subscriptions.
4.2 Operational Model
StackBack creates standard Shopify orders for all transactions. All orders appear in your existing Shopify admin for fulfilment, and you manage fulfilment through your regular Shopify workflows. StackBack does not handle payment processing directly; all payments are processed through Shopify’s native checkout.
4.3 Email Communications
The Service includes automated transactional email communications sent to End Customers on behalf of the Merchant. These include order confirmations, delivery reminders, renewal notifications, PAYG payment nudges, and rescheduling confirmations. Merchants are responsible for ensuring that the content and frequency of these emails comply with applicable laws, including anti-spam regulations.
4.4 Service Availability
We strive to maintain continuous availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, updates, or improvements that may temporarily affect availability. We will endeavour to provide advance notice of planned downtime where practicable.
5. Pricing and Payment
5.1 Subscription Plans
The Service is offered under tiered pricing plans. Current plans and pricing are published at stackback.ai and on the Shopify App Store listing. We offer a 7-day free trial for new Merchants.
5.2 Transaction Fees
StackBack charges 0% transaction fees across all pricing tiers. This means there is no per-order commission or revenue share on orders generated through the Service.
5.3 Billing
All billing is processed through Shopify’s built-in billing system. By installing the application and selecting a Plan, you authorise Shopify to charge the applicable fees to your Shopify account in accordance with Shopify’s billing terms.
5.4 Usage Limits and Overage
Each Plan includes usage limits for subscriptions/contracts, bundle purchases, and TBYB campaigns per month. If you exceed the included limits, overage charges will apply as specified in your Plan. Current overage rates are published on our pricing page.
5.5 Price Changes
We reserve the right to modify our pricing at any time. We will provide at least 30 days’ advance notice of any pricing changes. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
6. Merchant Obligations
As a Merchant using the Service, you agree to:
Use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and Shopify’s terms of service.
Ensure that all products and services offered through StackBack’s selling formats comply with applicable consumer protection laws, product safety regulations, and advertising standards.
Accurately represent subscription terms, bundle contents, delivery schedules, pricing, and discount offers to your End Customers.
Honour all subscription commitments, delivery schedules, and refund/cancellation policies as communicated to your End Customers.
Maintain appropriate privacy policies and terms of service on your own Shopify store that cover the collection and processing of End Customer data through StackBack features.
Obtain all necessary consents from End Customers for the processing of their data through the Service, including for transactional email communications.
Not use the Service to send unsolicited commercial communications (spam) or for any purpose that violates anti-spam laws.
Not attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service.
Not use the Service to engage in any activity that is fraudulent, misleading, or harmful.
Not sublicense, resell, or redistribute the Service to third parties without our written consent.
7. Intellectual Property
7.1 Our Intellectual Property
The Service, including all software, code, designs, interfaces, algorithms, documentation, trademarks, and content, is owned by or licensed to the Company and is protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for the duration of your subscription, solely for its intended purpose.
7.2 Your Content
You retain ownership of all content, data, product information, and materials that you provide through the Service. By using the Service, you grant us a limited licence to use, process, display, and transmit your content solely as necessary to provide and improve the Service.
7.3 Feedback
If you provide feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free licence to use such feedback for any purpose, including improving the Service, without obligation to you.
8. Data Protection and Privacy
Our collection, use, and handling of data is governed by our Privacy Policy, available at stackback.ai/privacy-policy. By using the Service, you agree to the practices described in the Privacy Policy.
Data Processor Role: with respect to End Customer data, StackBack acts as a data processor on behalf of the Merchant. The Merchant remains the data fiduciary (controller) and is responsible for compliance with applicable data protection laws, including obtaining necessary consents from End Customers.
Compliance Webhooks: we comply with Shopify’s mandatory compliance webhook requirements, including responding to customer data requests, customer data erasure requests, and shop data erasure requests within the timeframes prescribed by Shopify.
9. Confidentiality
Each party agrees to maintain the confidentiality of any non-public information received from the other party in connection with the Service. This obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law or legal process.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that:
The Service will be uninterrupted, error-free, or free of viruses or other harmful components.
The Service will meet your specific requirements or expectations.
Any particular level of sales, revenue, or conversion will be achieved through use of the Service.
The Service will be compatible with all Shopify themes, configurations, or third-party applications.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.
We shall not be liable for any damages or losses resulting from actions taken by End Customers, Shopify platform issues, third-party service provider failures, or events beyond our reasonable control.
Nothing in these Terms excludes or limits our liability for fraud, wilful misconduct, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable Indian law.
12. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
Your use of the Service or violation of these Terms.
Your products, services, subscription plans, or representations made to End Customers.
Your violation of any applicable law, regulation, or third-party rights.
Any dispute between you and your End Customers, including disputes related to subscriptions, deliveries, refunds, or cancellations.
Any End Customer data breach caused by your negligence or non-compliance with applicable data protection laws.
13. Term and Termination
13.1 Term
These Terms are effective from the date you install the StackBack application and continue until terminated by either party.
13.2 Termination by Merchant
You may terminate your use of the Service at any time by uninstalling the StackBack application from your Shopify store. Upon uninstallation, your access to the Service will cease, though previously created Shopify orders will remain in your Shopify admin.
13.3 Termination by Us
We may suspend or terminate your access to the Service, with or without notice, if:
You breach any provision of these Terms.
You fail to pay applicable fees when due.
Your Shopify store is suspended, terminated, or otherwise unavailable.
We are required to do so by law or regulation.
We reasonably believe your use of the Service poses a security risk or is harmful to us, the Service, or other users.
13.4 Effect of Termination
Upon termination:
Your licence to use the Service will immediately cease.
Any outstanding fees owed to us will become immediately due and payable.
We will handle your data in accordance with our Privacy Policy and Shopify’s compliance webhook requirements.
Sections 7 (Intellectual Property), 9 (Confidentiality), 10 (Disclaimer), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) shall survive termination.
14. Modifications to the Service and Terms
14.1 Service Modifications
We reserve the right to modify, update, or discontinue any feature or module of the Service at any time. We will provide reasonable notice of material changes that affect your use of the Service.
14.2 Terms Modifications
We may update these Terms from time to time. When we make material changes, we will update the effective date and notify you via email or through the Service. Your continued use of the Service after updated Terms take effect constitutes your acceptance of those Terms. If you do not agree to the updated Terms, you must stop using the Service.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
15.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved amicably through good-faith negotiations between the parties for a period of thirty (30) days from the date of written notice of the dispute.
If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be Mumbai, Maharashtra, India. The language of arbitration shall be English. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties.
Notwithstanding the foregoing, either party may seek interim or injunctive relief from the competent courts in Mumbai, Maharashtra, India, to prevent irreparable harm pending the outcome of arbitration.
15.3 Jurisdiction
Subject to the arbitration clause above, the courts of Mumbai, Maharashtra, India shall have exclusive jurisdiction over any matters not subject to arbitration.
16. General Provisions
Entire Agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings.
Severability: if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: you may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
Force Majeure: we shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, pandemics, or Shopify platform issues.
Notices: all notices under these Terms shall be in writing and sent via email. Notices to us shall be sent to the email address specified in Section 17. Notices to you shall be sent to the email address associated with your Shopify store or StackBack account.
No Third-Party Beneficiaries: these Terms are between you and the Company. No End Customer or other third party is a beneficiary of these Terms or has any right to enforce them.
Relationship of Parties: nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.
